These Terms & Conditions set out the rules for using uwin.co.uk and any related UWIN services, campaigns, prize draws, promotions, donation pages, online entry forms, digital platforms and communications.

UWIN is operated by BidAid Ltd.

In these Terms & Conditions, the words “UWIN,” “we,” “us,” “our” and “the Company” refer to BidAid Ltd, trading as UWIN. The words “you,” “your” and “user” refer to any person who accesses the website, enters a promotion, makes a donation, creates an account, uses our services or otherwise interacts with UWIN.

Please read these Terms & Conditions carefully before using the website or entering any promotion.

By accessing, browsing, entering, registering, donating, submitting information or otherwise using the website or services, you confirm that you have read, understood and agree to be bound by these Terms & Conditions, together with any specific rules that apply to an individual promotion.

If you do not agree to these Terms & Conditions, you should not use the website or enter any UWIN promotion.

1. About UWIN

UWIN is a fundraising and prize promotion platform operated by BidAid Ltd.

UWIN allows charities, good causes, partners, brands and campaign organisers to raise funds and awareness through prize draws, competitions, campaigns and promotional experiences.

Each campaign may include the opportunity to enter for a chance to win a prize. Prizes may include experiences, tickets, memorabilia, artwork, travel, hospitality, signed items, meet-and-greets or other goods and services.

Each promotion will have its own campaign page, prize description and, where required, specific rules. Those campaign-specific rules form part of these Terms & Conditions.

If there is any conflict between these general Terms & Conditions and the specific rules of a particular promotion, the specific rules for that promotion will take priority.

2. Eligibility

Unless stated otherwise on a specific campaign page, UWIN promotions are open only to persons aged 18 years or over

By entering a promotion, you confirm that:

  1. you are at least 18 years old;
  2. you are legally able to enter the promotion;
  3. all information you provide is true, accurate and complete;
  4. you are not prohibited from entering under any applicable law, regulation or campaign rule;
  5. you are entering as an individual and not on behalf of another person, syndicate, automated system or organisation.

Employees, directors, officers, agents, contractors and immediate family members of BidAid Ltd, UWIN, the relevant charity, the prize supplier or any party directly involved in administering a promotion may be excluded from entering or winning, unless the specific campaign rules state otherwise.

We reserve the right to ask for proof of age, identity, eligibility and address before confirming a winner or awarding a prize.

If you cannot provide satisfactory evidence when requested, we may disqualify your entry and select an alternative winner.

3. Promotions, Prize Draws and Competitions

UWIN may operate different types of promotions, including prize draws, competitions, free-entry promotions, donation-linked campaigns and other fundraising campaigns.

Each promotion will explain:

  1. the prize or prizes available;
  2. the opening date;
  3. the closing date;
  4. how to enter;
  5. whether a donation or payment option is available;
  6. how the free entry route works;
  7. the number of winners;
  8. how and when winners will be selected;
  9. how winners will be contacted;
  10. any restrictions, limitations, blackout dates or special conditions.

All entries must be received before the stated closing date and time. Entries received after the closing date may not be counted.

We reserve the right to reject, remove or disqualify any entry that is incomplete, late, fraudulent, abusive, automated, duplicated, suspicious, ineligible or otherwise in breach of these Terms & Conditions.

4. Free Entry Route

No purchase, payment or donation is necessary to enter a UWIN prize draw unless the campaign is clearly structured as a different lawful promotion.

Where a UWIN prize draw includes paid or donation-based entries, a free entry route will also be made available.

The free entry route will be explained on the relevant campaign page. This may include, for example, postal entry or another method specified for that promotion.

Free entries must comply with the instructions shown on the campaign page. If a free entry does not include the required information, is illegible, incomplete, duplicated, late, bulk-submitted, automated or otherwise does not follow the stated instructions, it may be rejected.

Free entries and paid/donation-based entries will be treated equally for the purposes of winner selection, provided they are valid and received before the closing date.

5. Donations and Payments

Some UWIN promotions allow you to make a donation to support a charity or good cause. In return, you may receive entries into the relevant promotion, as stated on the campaign page.

Making a donation does not guarantee that you will win a prize.

Unless clearly stated otherwise, donations are voluntary and are made to support the charity or cause linked to the campaign.

UWIN may deduct agreed platform, processing, administration, fulfilment, marketing or service fees before funds are transferred to the charity or campaign beneficiary. The amount or basis of any deduction may vary depending on the campaign, agreement with the charity or partner, payment provider and operational costs.

Where stated on a campaign page, UWIN may explain what percentage or amount of net proceeds is expected to go to the relevant charity or good cause.

For the avoidance of doubt, “net proceeds” means the amount remaining after applicable payment processing fees, refunds, chargebacks, VAT where applicable, platform fees, fulfilment costs and any other agreed campaign costs have been deducted.

It is your responsibility to determine whether any donation is tax deductible. You should seek your own tax advice where necessary.

6. Refunds

Donations and entry-related payments are generally non-refundable once made, except where required by law or where UWIN determines that a refund is appropriate.

We may issue a refund where:

  1. a payment was taken in error;
  2. a duplicate payment was made by mistake;
  3. the promotion is cancelled and no alternative arrangement is made;
  4. the advertised prize cannot be delivered and no suitable substitute is offered;
  5. a refund is required by applicable law.

We do not usually provide refunds simply because you did not win, changed your mind, entered by mistake, failed to read the campaign rules, failed to attend an experience, failed to claim a prize in time or are unable to use a prize.

Refunds will normally be made back to the original payment method where possible.

7. Winner Selection

Unless stated otherwise on a specific campaign page, winners of prize draws will be selected at random from all valid entries received before the closing date.

The draw may be carried out using a randomised digital process, third-party draw tool, manual draw or other fair and transparent method.

For skill-based competitions, winners may be selected according to the judging criteria stated on the campaign page.

The decision of UWIN, the campaign organiser or the appointed judging panel will be final, and no correspondence will be entered into regarding the outcome, except where required by law.

8. Winner Notification and Claiming Prizes

Winners will be contacted using the contact details provided at the time of entry.

You are responsible for ensuring that your name, email address, phone number, postal address and any other required details are accurate and up to date.

Unless stated otherwise on the campaign page, winners may be required to respond within a stated period after notification. For fast-turnaround prizes, this period may be short, including 24 hours or less, where clearly stated in the campaign rules or winner notification.

If a winner:

  1. does not respond within the stated time;
  2. cannot be contacted;
  3. is found to be ineligible;
  4. fails to provide required information;
  5. fails to comply with these Terms & Conditions;
  6. declines the prize;
  7. is unable to accept or use the prize;

we reserve the right to withdraw the prize and select an alternative winner.

UWIN is not responsible if a winner does not receive a notification because their contact details are incorrect, their email system blocks the message, the message goes to junk or spam, or they fail to check their messages.

9. Prizes

Prize details will be set out on the relevant campaign page.

Prizes are subject to availability and any restrictions stated by UWIN, the charity, campaign organiser, venue, supplier, promoter, artist, athlete, celebrity, hotel, travel provider or other third party.

Unless stated otherwise:

  1. prizes are non-transferable;
  2. no cash alternative is available;
  3. prizes cannot be exchanged;
  4. prizes may not be resold;
  5. winners are responsible for their own travel, insurance, meals, spending money and any additional costs;
  6. dates, timings, locations and availability may be subject to change;
  7. experience prizes must be taken on dates agreed with the supplier;
  8. any guest accompanying a winner must comply with the same rules and restrictions.

Where a prize includes tickets, hospitality, travel, accommodation or an experience, the winner and any guest must comply with the venue, event organiser, hotel, travel provider or supplier’s own terms and conditions.

UWIN is not responsible for any refusal of entry, cancellation, delay, rescheduling, venue issue, artist issue, travel disruption, weather disruption, illness, security issue or third-party failure outside our reasonable control.

Where necessary, UWIN reserves the right to substitute a prize with another prize of equal or greater value if the advertised prize becomes unavailable.

10. Prize Fulfilment and Delivery

Prize fulfilment times may vary depending on the type of prize and the supplier.

Physical prizes may require delivery by post, courier or collection. Experience prizes may require the winner to liaise with UWIN, the charity, campaign organiser or prize supplier to agree a suitable date.

Winners must provide accurate delivery and contact details. UWIN is not responsible for prizes lost, delayed or undelivered due to incorrect information provided by the winner.

If a prize is supplied by a third party, UWIN will use reasonable efforts to assist with fulfilment, but responsibility for the actual provision of the prize may rest with the prize supplier.

Where a prize cannot be delivered due to the winner’s failure to respond, provide information, attend, arrange dates or comply with supplier requirements, the prize may be forfeited.

11. Publicity

By entering a promotion, you agree that, if you win, UWIN may publish or make available your surname, county or general location and winning entry information where required by law, regulation or promotional rules.

We may also ask winners to take part in reasonable publicity, including photographs, videos, social media posts, press releases or charity updates. Participation in wider publicity is voluntary unless stated as a condition of a specific campaign.

We will not publish your full address, phone number or private contact details.

If you object to your winner information being made available, you should contact us at help@uwin.co.uk. We may still be required to provide winner information to regulators, advertising bodies or other lawful authorities where necessary.

12. Accounts

Some parts of the UWIN website or service may require you to create an account.

When creating an account, you must provide accurate and complete information.

You are responsible for maintaining the confidentiality of your login details and password. You must not allow anyone else to use your account.

You must notify us immediately if you believe your account has been accessed without authorisation.

We may suspend, restrict or terminate your account if we believe that you have breached these Terms & Conditions, provided false information, misused the website, acted fraudulently or behaved in a way that could damage UWIN, a charity, a campaign, another user or a third party.

13. Acceptable Use

You must not use the website or services in any way that:

  1. breaks the law;
  2. infringes the rights of another person;
  3. is fraudulent, misleading, abusive, threatening, defamatory or harmful;
  4. interferes with the operation of the website;
  5. attempts to gain unauthorised access to any system, account, software or data;
  6. uses bots, scripts, automation or bulk entry methods unless expressly permitted;
  7. manipulates or attempts to manipulate a promotion;
  8. introduces viruses, malware or harmful code;
  9. copies, scrapes, harvests or misuses data from the website;
  10. damages the reputation of UWIN, BidAid Ltd, a charity, partner, supplier or campaign.

We reserve the right to block, suspend, remove or report any user or entry that we believe breaches these rules.

14. Intellectual Property

All content on the UWIN website, including text, images, graphics, logos, designs, software, branding, layouts, videos, prize descriptions and platform features, belongs to UWIN, BidAid Ltd, its licensors, suppliers or partners unless stated otherwise.

You may use the website for personal, lawful, non-commercial purposes only.

You must not copy, reproduce, sell, licence, distribute, modify, scrape, publish, reverse engineer or create derivative works from any part of the website or service without our prior written permission.

Nothing in these Terms & Conditions gives you ownership of any UWIN or BidAid Ltd intellectual property.

15. Third-Party Services and Links

The UWIN website may include links to third-party websites, payment providers, ticketing platforms, hotels, venues, charities, social media platforms, suppliers or other services.

These third-party services are not controlled by UWIN.

We are not responsible for the content, availability, accuracy, security, policies, actions or failures of any third-party website or service.

Use of third-party services is at your own risk and may be subject to separate terms and conditions.

16. Privacy and Personal Data

We will collect and use personal information in accordance with our Privacy Policy.

Personal information may be used to:

  1. process entries;
  2. administer promotions;
  3. contact winners;
  4. fulfil prizes;
  5. process donations and payments;
  6. prevent fraud;
  7. comply with legal obligations;
  8. communicate with users;
  9. support charities and campaign partners where appropriate;
  10. improve our website and services.

Where required, we may share limited personal information with charities, prize suppliers, payment providers, fulfilment partners, professional advisers, regulators or law enforcement bodies.

You should read our Privacy Policy before using the website or entering a promotion.

If you do not agree with how your personal information is handled, you should not use the website or enter a promotion.

17. Cookies

18. Website Availability

We aim to keep the website and services available, secure and functioning properly. However, we do not guarantee that the website will always be available, uninterrupted, error-free or free from viruses or technical problems.

We may suspend, withdraw, update, restrict or change all or part of the website or service at any time.

UWIN is not responsible for entries, payments, donations, emails, forms or communications that are lost, delayed, corrupted, misdirected, incomplete or not received due to technical issues, network failures, device problems, third-party systems, internet disruption or user error.

19. Campaign Changes, Cancellation and Force Majeure

We reserve the right to cancel, amend, suspend, extend or withdraw a promotion where necessary due to circumstances outside our reasonable control or where continuing the promotion would be unfair, unlawful, impractical or damaging.

This may include, but is not limited to:

  1. technical failures;
  2. fraud or attempted fraud;
  3. supplier failure;
  4. venue or event cancellation;
  5. illness or unavailability of a named person;
  6. travel disruption;
  7. legal or regulatory issues;
  8. payment provider issues;
  9. charity or partner withdrawal;
  10. events beyond our reasonable control.

Where possible, we will take reasonable steps to minimise disruption and communicate material changes.

20. Disclaimers

The website, services and promotions are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, UWIN makes no guarantee that:

  1. the website will always be available;
  2. the website will be free from errors or interruptions;
  3. all information will be complete, current or accurate at all times;
  4. a prize will meet a winner’s personal expectations;
  5. third-party suppliers will perform without issue;
  6. every campaign will raise a specific amount for charity.

We will use reasonable care and skill in operating the website and administering promotions, but we are not responsible for matters outside our reasonable control.

21. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, UWIN and BidAid Ltd will not be liable for:

  1. loss of profit;
  2. loss of business;
  3. loss of opportunity;
  4. loss of goodwill;
  5. indirect or consequential loss;
  6. disappointment, distress or inconvenience;
  7. technical failure outside our reasonable control;
  8. third-party supplier failure;
  9. event cancellation or postponement by a third party;
  10. any additional cost incurred by a winner or entrant unless expressly agreed in writing.

Where liability cannot be excluded, our total liability to you will be limited to the amount you paid to enter the relevant promotion, or £100, whichever is greater, unless the law requires otherwise.

22. Indemnity

You agree to indemnify and hold harmless BidAid Ltd, UWIN, its directors, employees, contractors, partners, charities, suppliers and agents from and against any claims, losses, liabilities, damages, costs or expenses arising from:

  1. your breach of these Terms & Conditions;
  2. your misuse of the website or services;
  3. your fraudulent or unlawful conduct;
  4. your infringement of third-party rights;
  5. information you provide that is false, inaccurate or misleading;
  6. your failure to comply with the rules of a promotion.

Please include your full name, contact details, campaign name, payment reference if applicable and a clear explanation of the issue.

We will aim to review complaints fairly and respond within a reasonable time.

If your complaint relates to a third-party supplier, charity, venue, event organiser or prize provider, we may need to refer the matter to that party for investigation or response.

24. Changes to These Terms

We may update these Terms & Conditions from time to time.

The latest version will be posted on the UWIN website with the date of the most recent update.

By continuing to use the website or enter promotions after the Terms & Conditions have been updated, you agree to the revised version.

If you do not agree to the updated Terms & Conditions, you should stop using the website and services.

25. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales.

Any dispute arising from or relating to these Terms & Conditions, the website, the services or any promotion will be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable consumer law requires otherwise.
